OP Loftbed Preferred Manufacturer Agreement

1. As an OP Loftbed Preferred Manufacturer, I agree to:

• Always meet or exceed the design specifications as set forth in the OP Loftbed plans.
• Maintain a high standard in customer service.
• Notify OP Loftbed Company immediately if I decide to end my participation in the OP Loftbed Preferred Manufacturers Program.
• Notify OP Loftbed immediately if any of my contact information above changes.
• Hold OP Loftbed Company blameless in the event of any injury or other legal injunction that may occur while I am an OP Loftbed Preferred Manufacturer, or involving products made while I am an OP Loftbed Preferred Manufacturer. (Reason: Other than this agreement, OP Loftbed company has no control over the quality of materials that I use, or the quality of my craftsmanship.)
• Make customers aware of the Guardrail Modification that is necessary when small children will be using the bed, and to supply that guardrail modification at time of delivery if the customer requests it.

2. As an OP Loftbed Preferred Manufacturer, I agree NOT to:

• Sell a modified version of the OP Loftbed that compromises the original materials, design, or structural integrity as set forth in the OP Loftbed plans.
• Sell, give away, raffle, or in any other way distribute the OP Loftbed plans. The Copyright of the plans is owned by OP Loftbed Company and must be purchased directly from OP Loftbed Company. (Exception: One printed set of measured line drawings for same size bed only may be included with the sale of a bed so that my customer will have a reference for future assembly.)
• Advertise in such a way that I appear to be THE OP Loftbed Company. Anywhere I use the OP Loftbed name in advertising it will include the words "Preferred Manufacturer".

3. Buy cashing my check, OP Loftbed agrees to:

• List my name and or business name, address, telephone number, email address, and web site address in the Preferred Manufacturers area of the official OP Loftbed web site at http://www.oploftbed.com for one calendar year (365 days, beginning with the date that my information is listed on the web site).
• Provide copies of the plans for all sizes of OP Loftbed loft beds to me.
• Immediately notify me of changes or upgrades to the plans while I am enrolled in the OP Loftbed Preferred Manufacturers program.
• Provide a personalized flier that I can copy and post to generate business.
• Provide a customized "Liability Waiver" for my customers to sign when they receive their OP Loftbed.
• Provide a customized "Thank You for Purchasing an OP Loftbed" letter that explains to my customers how to care for their OP Loftbed.

4. Buy cashing my check, OP Loftbed agrees NOT to:

• Accept other preferred manufacturers within a 25 mile driving radius of my business address. This will be determined by driving directions as provided by MapBlast.com.
• Regulate or otherwise interfere with any price structure that I deem appropriate for the product.

5. Violation of the terms listed above is grounds for immediate removal from the OP Loftbed Preferred Manufacturer program without refund.

I have read the above agreement, and agree to be bound by the terms set forth during the time that I am an OP Loftbed Preferred Manufacturer.
